TERMS OF SERVICE
AeroTarget Service
A Service of UberID, LLC
Version 1.0
Please read these Terms of Service carefully before accessing or using the Services. By creating an account, completing a subscription, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not accept these Terms, you must not use the Services.
These Terms of Service (the "Terms") form a binding legal agreement between the customer identified on the applicable order or subscription record ("Customer," "you," or "your") and UberID, LLC ("UberID," "Company," "we," "us," or "our").
AeroTarget.ai is a service offered by UberID. It is not a separate legal entity and is not operated under a "doing business as" designation. The contractual relationship is solely between Customer and UberID, LLC. All invoices, payment statements, and billing records will identify UberID or UberID, LLC.
These Terms should be read together with the Acceptable Use Policy and the Data Policy. UberID may revise these Terms from time to time. Material changes will be communicated by reasonable means. Continued use of the Services after the effective date of revised Terms constitutes acceptance of those revisions.
1. Parties and Nature of the Relationship
UberID, LLC is a Delaware limited liability company. Customer is the legal entity (or, where permitted, the individual) that enters into a subscription or order for the Services. The individual who accepts these Terms on behalf of an entity represents that he or she has authority to bind that entity.
Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship. The Parties are independent contractors. UberID may engage subcontractors to perform obligations under these Terms, provided UberID remains responsible for their performance.
AeroTarget is the branded service through which UberID makes certain online tools, processed aviation data, analytics, campaign features, and related functionality available. References to "AeroTarget" or "the AeroTarget service" mean the service offering of UberID and do not imply a separate contracting party.
2. Definitions
In these Terms:
"Account Credentials" means usernames, passwords, API keys, and other authentication materials issued to Authorized Users.
"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a Party, where "control" means ownership of more than fifty percent (50%) of the voting interests.
"API" means any application programming interface, related documentation, sample code, or tools that UberID makes available for use with the Services.
"Authorized Users" means Customer's employees and independent contractors whom Customer has expressly authorized to use the Services, subject to the seat or user limits in the applicable order or plan.
"Company Data" means all aviation registration, ownership, operational, analytical, historical, and related datasets, processed snapshots, pre-aggregated information, and materials made available through the Services. Company Data is and remains the exclusive property and Confidential Information of UberID.
"Customer Data" means any data, content, notes, lists, or materials that Customer or its Authorized Users submit or upload to the Services, excluding Usage Data and Account Credentials.
"Documentation" means user guides, help materials, and technical documentation (if any) made available by UberID relating to the Services.
"Order" means any order form, addendum, renewal document, or self-serve subscription selection that references and incorporates these Terms.
"Services" means the online platform, data services, software, analytics, campaign tools, history features, and related functionality made available by UberID under the AeroTarget service, including any updates or enhancements.
"Term" means the initial subscription period stated in the Order or selected plan, together with any renewal periods.
"Usage Data" means data, analytics, logs, statistics, and other information generated through or derived from use of the Services, excluding Customer Data.
3. Description of the Services
The Services provide authorized users with access to processed aviation registration information, search and history tools, fleet analytics, campaign features for generating outreach materials, administrative discovery functions, and related capabilities, all as described in the applicable Order and Documentation. UberID may modify, enhance, or discontinue features from time to time. Modifications become part of the Services and remain subject to these Terms.
UberID does not guarantee that any particular data element will be complete, current, or free of error. Certain records may be subject to privacy redaction under applicable law or may be flagged by UberID as private. The Services may restrict or prevent generation of mailing labels, letters, or other outreach materials for such records.
4. License Grant and Scope of Authorized Use
Subject to these Terms and UberID's Acceptable Use Policy (as updated from time to time and posted at a location designated by UberID), UberID grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services and Company Data solely for Customer's internal business purposes during the Term and solely in accordance with the applicable Order or subscription plan.
No other rights are granted. Customer acquires no ownership interest in the Services, Company Data, or any related intellectual property.
5. Prohibited Conduct
Customer and its Authorized Users shall not, and shall not permit any third party to:
- violate the Acceptable Use Policy;
- reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, or algorithms of any part of the Services;
- operate a service bureau, application-service-provider, or software-as-a-service offering that uses the Services or Company Data, except as expressly authorized in writing in an Order;
- use Company Data or the Services to train, fine-tune, evaluate, or improve any large language model, generative artificial-intelligence system, or similar model, or submit Company Data as input to any system that may retain or train on that input (limited internal business analysis is permitted provided outputs are not shared externally and confidentiality is maintained);
- modify, copy, or create derivative works based on the Services or Company Data, except for internal analyses or reports that do not enable extraction or reconstruction of Company Data and are not distributed outside Customer's organization;
- use the Services or Company Data to develop, provide, or support any product or service that competes with the Services or with any offering of UberID or its Affiliates;
- remove proprietary notices from the Services or Company Data;
- use the Services or Company Data in any manner that infringes third-party intellectual-property rights;
- access or use the Services or Company Data for any purpose other than Customer's own internal business use;
- publish, resell, transmit, broadcast, or distribute the Services or any Company Data (or data derived from the Services), except where UberID has given prior written authorization (in which case Customer shall attribute the source as "AeroTarget, a service of UberID, LLC");
- attempt to circumvent technical, programmatic, or contractual restrictions on export, bulk download, scraping, or extraction of Company Data; or
- use Account Credentials or API access to retrieve or present Company Data on behalf of any third-party end user unless that end user is itself a direct subscriber under a separate active Order and authenticates with its own credentials.
Any reseller, referral, white-label, or pass-through arrangement requires a separate written agreement signed by UberID. Upon termination, Customer shall cease all end-user presentation of Company Data, remove or disable access to cached Company Data to the extent feasible, and certify such actions if requested.
UberID may monitor usage (including bulk exports and API activity) and may impose additional limits or charges for non-compliance. UberID may also impose reasonable consumption and usage limits, including per-user, per-organization, per-API-call, per-export, throughput, or credit-based limits. Limits may be adjusted for service stability, capacity management, fair use, or legal or third-party requirements.
6. Accounts, Seats, and Authorized Users
Customer may designate Authorized Users up to the number of seats purchased under the applicable Order or plan. Each Authorized User must keep Account Credentials confidential and must not share them. Customer may designate independent contractors as Authorized Users only with UberID's prior permission and remains fully responsible for their compliance with these Terms. UberID may process professional contact information of Authorized Users as necessary to maintain account integrity and service quality.
Customer is responsible for all activity that occurs under its Account Credentials and for ensuring that its Authorized Users comply with these Terms.
7. API Access
If Customer subscribes to API access, UberID grants a limited, non-exclusive, non-transferable, revocable right to use the API solely to facilitate authorized use of the Services. The API and all related components remain UberID Confidential Information and intellectual property. Customer must maintain an active subscription concurrent with API use, may not distribute API components to unauthorized parties, and may not reverse-engineer or exceed the scope of the Order. UberID may suspend or terminate API access for non-compliance. Upon termination, Customer shall cease all API use and remove API components from its systems.
8. Data, Intellectual Property, and Privacy Handling
8.1 Customer Data
Customer retains ownership of Customer Data. UberID will process Customer Data only as necessary to provide and support the Services, fulfill security and account functions, and comply with law. Customer Data remains Customer's Confidential Information.
8.2 External Use of Data
Once Customer exports, downloads, or otherwise uses information obtained through the Services outside the Service environment, Customer acts as an independent controller and is solely responsible for compliance with all applicable data-protection, privacy, and marketing laws. Customer shall indemnify and hold UberID harmless from claims arising from such external processing.
8.3 Security
UberID will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data. Customer Data may be processed and stored in the United States or other jurisdictions in which UberID or its service providers operate.
8.4 Limited Liability for Data Protection
UberID's liability for unauthorized access to or use of Customer Data is limited to cases of UberID's gross negligence or willful misconduct.
8.5 License to UberID
Customer grants UberID a limited, royalty-free, non-exclusive license to collect, store, process, transmit, and use Customer Data solely to provide, maintain, and support the Services and to comply with law. UberID will not sell Customer Data.
8.6 Aggregated and Anonymized Data
UberID may collect, use, and retain Usage Data in aggregated or anonymized form for lawful business purposes, including service improvement, research, benchmarking, and development of new features, provided such data does not identify Customer or any individual.
8.7 UberID Intellectual Property
All right, title, and interest in the Services, Company Data, Usage Data, and related intellectual property remain exclusively with UberID. Customer acquires no ownership rights. UberID owns all developments, enhancements, and derivative works created by or for UberID in connection with the Services.
8.8 Data-Protection Compliance
UberID will comply with applicable data-protection laws in the jurisdictions where it processes Customer Data. The Services primarily provide access to Company Data (processed FAA-derived information). Customer remains responsible for any processing it performs outside the Services. Additional details about how UberID processes personal information are set out in the Data Policy.
8.9 Private Registrations and Outreach
Certain records in Company Data are subject to FAA privacy redaction or are flagged by UberID as private. The Services may restrict or prevent generation of mailing labels, letters, or other outreach materials for such records. Customer is solely responsible for ensuring that any outreach conducted with data obtained through the Services complies with all applicable laws, including CAN-SPAM, the Telephone Consumer Protection Act, state "do-not-call" rules, and similar requirements.
9. Fees, Invoicing, and Payment
Customer shall pay the fees set forth in the Order or selected subscription plan. UberID may assess additional fees based on consumption or usage; applicable rates will be communicated in writing before they take effect. All invoices, statements, and payment records will identify UberID or UberID, LLC.
Customer is responsible for all applicable taxes (excluding taxes on UberID's net income). If Customer requires UberID to process invoices or payments through a third-party procurement or payment platform, Customer shall reimburse UberID for any fees or charges imposed by that platform.
Late payments may accrue interest at the rate of one and one-half percent (1.5%) per month (or the maximum rate permitted by law) and may result in suspension of access. Customer is responsible for reasonable costs of collection, including attorneys' fees.
10. Confidentiality
Each Party (the "Discloser") may disclose Confidential Information to the other Party (the "Recipient"). Confidential Information includes Customer Data (Customer's) and the Services, platform architecture, Company Data, Usage Data, and non-public UberID information (UberID's).
The Recipient shall use Confidential Information only as necessary to perform under these Terms and shall not disclose it to third parties except to employees, contractors, and advisers who have a need to know and are bound by confidentiality obligations at least as protective as these. Exceptions apply for information that was already known without restriction, independently developed, rightfully received from a third party without breach, or becomes publicly available through no fault of the Recipient.
Disclosure required by law, regulation, or valid legal process is permitted, provided the Recipient gives the Discloser prompt written notice (where legally permitted) and reasonably cooperates, at the Discloser's expense, in seeking protective relief.
Upon termination or expiration, the Recipient shall, upon written request, delete or destroy the Discloser's Confidential Information in its possession or control, except as required by law or internal compliance obligations. Confidentiality obligations survive for five (5) years after disclosure (or longer for information that constitutes a trade secret under applicable law).
11. Representations, Warranties, and Disclaimers
11.1 Limited Warranty
During the Term, the Services will operate in all material respects in accordance with the applicable Documentation under normal use.
11.2 Disclaimer
Except for the limited warranty above, the Services and Company Data are provided "AS IS" and "AS AVAILABLE." UberID makes no representations or warranties regarding accuracy, reliability, completeness, uninterrupted operation, error-free performance, or fitness for any particular purpose. Customer acknowledges that reliance on Company Data or Service output is at Customer's sole risk.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
11.3 Exclusions from Liability
UberID has no responsibility or liability arising from problems caused by internet connections, hardware, software, or equipment not controlled by UberID; abuse, negligence, or unauthorized use by Customer or third parties; problems caused by Customer's or third parties' systems or services; or modifications made by anyone other than UberID or its authorized representatives. Any use of or reliance on Company Data or Service output is solely Customer's responsibility.
12. Limitation of Liability
Except for obligations of confidentiality and indemnification, and to the maximum extent permitted by law, UberID shall not be liable for any special, indirect, incidental, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages. UberID's total aggregate liability to Customer under these Terms shall not exceed the fees paid by Customer to UberID for the Services in the twelve (12) months preceding the claim.
13. Indemnification
13.1 By UberID
UberID will defend Customer against third-party claims that the Services, as delivered and used in accordance with the Documentation and these Terms, infringe a third party's U.S. intellectual-property rights, and will pay damages finally awarded against Customer or paid in settlement of such claim.
13.2 Exceptions
The foregoing obligation does not apply to claims arising from (a) use or modification of the Services inconsistent with the Documentation or outside the scope of rights granted, (b) combination of the Services with software, hardware, or technology not authorized by UberID, or (c) Customer Data.
13.3 Infringement Remedy
If the Services are enjoined or UberID determines they are likely to be enjoined or otherwise infringing, UberID may, at its option and expense: (a) procure for Customer the right to continue using the Services; (b) replace or modify the Services so they are no longer infringing while continuing to provide comparable functionality; or (c) terminate Customer's access to the Services and refund any amounts previously paid for the Services attributable to the unused portion of the then-current Term. This section states UberID's entire liability and Customer's exclusive remedy for any claim that the Services infringe a third party's intellectual-property right.
13.4 By Customer
Customer will defend UberID and its Affiliates against third-party claims arising from (a) Customer's or Authorized Users' use of the Services in a manner not authorized by these Terms, (b) misuse of Account Credentials, or (c) Customer Data, and will pay damages finally awarded or paid in settlement, except to the extent arising from UberID's willful misconduct or gross negligence.
13.5 Procedure
The Party seeking indemnification must promptly notify the other Party of the claim, give the indemnifying Party sole control of the defense (subject to the indemnified Party's right to participate at its own expense), and reasonably cooperate. Failure to provide prompt notice will not relieve the indemnifying Party of its obligations except to the extent it is materially prejudiced by the delay.
14. Term, Renewal, Suspension, and Termination
14.1 Term and Renewal
These Terms commence on the Effective Date and continue for the Term stated in the Order or selected plan. Unless otherwise specified in the Order or prohibited by applicable law, the Order and non-expiring items added during the Term will automatically renew for successive twelve (12)-month periods unless either Party gives the other written notice of non-renewal at least sixty (60) days before the end of the then-current Term. UberID may adjust fees for renewal periods; any increase greater than three percent (3%) will be notified in advance.
14.2 Suspension
UberID may suspend Customer's access to the Services for non-payment or untimely authorization of payment, for conduct that UberID reasonably believes violates these Terms, the Acceptable Use Policy, or applicable law, or for security or operational reasons.
14.3 Termination
Either Party may terminate these Terms or any Order (a) for material breach if the other Party does not cure the breach within thirty (30) days after written notice, or (b) immediately, to the extent permitted by law, if the other Party terminates its business activities, becomes insolvent, admits in writing its inability to pay debts as they mature, makes an assignment for the benefit of creditors, or becomes subject to the control of a trustee, receiver, or similar authority. UberID may also terminate for repeated non-payment after written reminder, for violation of the Prohibited Conduct section or the Acceptable Use Policy, or if Customer becomes a direct or indirect competitor. UberID will not be liable to Customer or any third party for termination resulting from Customer's breach or from the terms of this section.
14.4 Effect of Termination
Upon expiration or termination: (a) Customer's right to use the Services ceases; (b) all rights granted to Customer terminate; (c) Customer remains responsible for all fees due for the remainder of the Term under all Orders in effect as of the termination date, less any fees already paid; and (d) Customer shall delete all UberID Confidential Information within thirty (30) days (except to the extent retention is required by law or for derivative works that do not permit reverse-engineering or extraction of the underlying Confidential Information) and, if requested, provide written certification of deletion signed by an authorized executive of Customer.
15. Compliance with Laws and Export Controls
Each Party shall comply with all applicable laws in performing its obligations under these Terms.
Neither Party shall export, re-export, or disclose any technical data, software, technology, or other information furnished under these Terms in violation of applicable U.S. export laws and regulations. Each Party shall indemnify, defend, and hold the other Party harmless from claims arising from its breach of this export provision.
If Customer is an agency of or otherwise represents the United States federal government, the Services qualify as a "commercial product" as defined by FAR Part 2.101 (or applicable corollary). Rights in technical data and software are limited to those customarily provided to the public under these Terms, in accordance with FAR 12.211, FAR 12.212, DFARS 252.227-7015, and DFARS 227.7202-3. Any additional rights must be negotiated in a separate written addendum signed by UberID.
16. Dispute Resolution and Governing Law
These Terms and any dispute, controversy, or claim arising out of or relating to these Terms or the Services ("Dispute") are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
All Disputes shall be resolved exclusively in the state or federal courts located in the State of Delaware, and each Party consents to the exclusive jurisdiction and venue of those courts.
CUSTOMER AND UBERID AGREE THAT ANY DISPUTE MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. CLASS ACTIONS, CLASS ARBITRATIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ACTIONS ARE NOT PERMITTED. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST THE OTHER.
17. General Provisions
17.1 Assignment
Neither Party may assign these Terms or any rights or obligations hereunder without the prior written consent of the other Party (which shall not be unreasonably withheld), except that UberID may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets or the business to which these Terms relate.
17.2 Notices
Notices required under these Terms are effective when sent by certified mail, return receipt requested, or by email. Notices to Customer are effective when UberID sends them to the email address associated with Customer's account. Notices to UberID are effective when Customer sends them to the email address designated by UberID for legal notices, aerotarget-legal-notice@uberid.com.
17.3 Publicity
UberID may include Customer's name and logo in its list of customers and marketing materials, provided such use is factual and uses Customer's name and logo in a form publicly made available or approved by Customer. Any other public reference or endorsement requires Customer's prior written consent.
17.4 Force Majeure
UberID will not be liable for any delays or failure in performance of any part of the Services due to causes beyond its reasonable control, including acts of God, changes in law, epidemic or pandemic, embargoes, war, terrorist acts, riots, fires, earthquakes, floods, strikes, power outages, and acts of hackers or third-party internet service providers.
17.5 Severability
If any provision of these Terms is held illegal, invalid, or unenforceable, that provision shall be considered severable and the remaining provisions shall continue in full force and effect, provided the unenforceable or invalid provision is not material to the overall purpose or operation of these Terms.
17.6 Interpretation
Section headings are for convenience only and do not affect interpretation. Whenever the context requires, the singular includes the plural and vice versa.
17.7 Waivers
Any waiver by UberID must be in writing and signed by an authorized representative of UberID. No waiver of any breach shall be a waiver of any preceding or succeeding breach. No failure or delay by UberID in enforcing any right or provision shall be construed as a waiver of that or any other right or provision.
17.8 Counterparts and Electronic Acceptance
These Terms and any Order may be executed in counterparts (including electronic signatures or online acceptance), each of which is deemed an original and all of which together constitute one and the same instrument. Online acceptance or continued use of the Services constitutes binding acceptance of these Terms.
17.9 Survival
The following provisions survive termination or expiration of these Terms: Definitions; Prohibited Conduct; Data, Intellectual Property, and Privacy Handling; Confidentiality; Representations, Warranties, and Disclaimers; Limitation of Liability; Indemnification; Term (effect of termination); Assignment; Notices; Waivers; and Survival, together with any other provisions that by their nature should survive.
17.10 Modifications
These Terms were last modified on the date stated at the end of this document ("Last Modified Date"). UberID may modify these Terms by posting a revised version on its website or within the Services. UberID will provide reasonable notice of material changes except where immediate modification is required by law, regulation, or court order. Customer's continued use of the Services after the Last Modified Date constitutes acceptance of the modified Terms. It is Customer's responsibility to review the Terms periodically.
17.11 Entire Agreement
These Terms, together with the Acceptable Use Policy, the Data Policy, and any applicable Order, constitute the entire agreement between the Parties concerning the Services and supersede all prior or contemporaneous understandings, agreements, and negotiations, whether oral or written. Any term or condition in a Customer purchase order or other document provided by Customer will be null and void unless made pursuant to a written amendment to these Terms expressly agreed to by authorized representatives of both Parties. In the event of any conflict between these Terms and any other document, these Terms shall prevail unless the other document expressly states otherwise and is signed by UberID.
