ACCEPTABLE USE POLICY
AeroTarget Service
A Service of UberID, LLC
Version 1.0
1. Introduction and Relationship to the Terms of Service
This Acceptable Use Policy (the "AUP") sets forth rules governing use of the AeroTarget service offered by UberID, LLC ("UberID," "we," "us," or "our"). AeroTarget.ai is a service of UberID; it is not a separate legal entity.
This AUP forms part of, and is incorporated into, the Terms of Service between the customer identified on the applicable order or subscription record ("Customer," "you," or "your") and UberID. Capitalized terms used but not defined in this AUP have the meanings given in the Terms of Service. In the event of a conflict between this AUP and the Terms of Service on a matter specifically addressed in this AUP, the AUP controls for that matter; otherwise the Terms of Service control. This AUP should also be read together with the Data Policy.
By accessing or using the Services, Customer agrees to this AUP. If Customer enters into this AUP or uses the Services on behalf of an entity, Customer represents that it has authority to bind that entity.
UberID may update this AUP from time to time. Material changes will be communicated by reasonable means. Continued use of the Services after the effective date of a revised AUP constitutes acceptance of the revised AUP.
2. Eligibility
To use the Services, Customer must:
- be at least eighteen (18) years of age (or the age of majority in the jurisdiction of residence, if higher);
- agree to this AUP and the Terms of Service; and
- pay for the Services in accordance with the applicable Order and the Terms of Service.
By using the Services, Customer represents and warrants that it meets these requirements. UberID may refuse service, suspend or close an account, or change eligibility requirements in accordance with this AUP and the Terms of Service.
3. Definitions
In addition to terms defined in the Terms of Service, the following definitions apply in this AUP:
"Agreement" means the Terms of Service together with this AUP, the Data Policy, any applicable Order, and any other documents expressly incorporated by reference.
"Malicious Code" means any code, file, script, agent, program, or similar item designed or intended to disrupt, disable, harm, corrupt, or otherwise impede the operation of, or provide unauthorized access to, a computer system, database, network, or device, including viruses, worms, time bombs, Trojan horses, and similar items.
4. Customer Responsibilities
Customer agrees, and where applicable shall ensure that its Authorized Users agree, to the following:
4.1 Account and Contact Information
Keep contact information associated with the account current and respond promptly to reasonable inquiries from UberID.
4.2 Security of Credentials and Access
Use commercially reasonable efforts to prevent unauthorized access to or use of the Services. Notify UberID promptly of any actual or suspected unauthorized access or use. Maintain the confidentiality of Account Credentials. Credentials may not be shared or used by more than one individual at a time; credentials may be reassigned to replace a former Authorized User who no longer requires access.
4.3 Systems and Interference
Ensure that systems, technology, or other items used in connection with the Services do not interfere with or disrupt the integrity or performance of the Services.
4.4 Security Measures
Employ commercially reasonable security measures to protect data transmitted to or received from the Services. Cooperate with UberID's reasonable investigations of service outages, security incidents, or any suspected breach of this AUP, the Terms of Service, or any Order.
4.5 Seat and Usage Limits
If an Order specifies a number of Authorized Users or other consumption limits, the Services may be accessed only by the authorized number of users and only within those limits. Customer shall not use the Services in excess of documented limitations or in a manner that adversely affects usability of the Services for UberID or its other customers.
4.6 Cooperation on Complaints
Upon request, respond to third-party complaints relating to Customer's use of the Services, promptly provide information documenting relevant relationships or consents, and otherwise reasonably cooperate in mitigating the impact of any such complaint.
5. Prohibited Activities
Except where prohibited by applicable law, Customer shall not, and shall not permit any Authorized User or third party to, directly or indirectly:
- reverse engineer, disassemble, decompile, or otherwise attempt to derive source code, underlying ideas, or algorithms of any component of the Services;
- operate a service bureau, application-service-provider, or software-as-a-service offering that uses the Services or Company Data, except as expressly authorized in writing in an Order;
- modify, copy, or create derivative works based on any part of the Services or Documentation, except for internal analyses or reports that do not enable extraction or reconstruction of Company Data and are not distributed outside Customer's organization;
- use the Services or Company Data to develop, provide, or support any product or service that competes, directly or indirectly, with the Services or with any offering of UberID or its Affiliates;
- remove any proprietary notices from the Services or Documentation;
- use the Services in any way that infringes the intellectual-property rights of a third party;
- permit access to the Services by anyone other than Authorized Users in the normal course of Customer's business for Customer's own internal business purposes;
- use the Services in any manner or for any purpose not expressly permitted by the Agreement;
- publish, resell, transmit, broadcast, or distribute the Services or any data acquired from the Services. Customer shall not export Company Data in bulk form or import it into any other system or storage vehicle (including a customer-relationship-management application) except as expressly authorized in writing by UberID. Limited export of data required for Customer's internal use is permitted within the usage limits of the applicable Order;
- attempt to circumvent programmatic, technical, or contractual restrictions that prohibit or limit export, bulk download, scraping, or extraction of Company Data, including by adjusting query parameters or repeating requests;
- share passwords, API keys, or other access credentials with third parties;
- deny or obstruct UberID's reasonable audit of Customer's use of the Services to verify compliance with the Agreement (Customer shall pay any additional fees determined to be owed as a result of such audit);
- introduce or transmit Malicious Code into the Services or any related systems;
- use Company Data or the Services to train, fine-tune, evaluate, or improve any large language model, generative artificial-intelligence system, or similar model, or submit Company Data as input to any system that may retain or train on that input (limited internal business analysis is permitted provided outputs are not shared externally and confidentiality is maintained);
- use data obtained through the Services to conduct outreach (including mailing labels, letters, or other communications) in violation of applicable law, including CAN-SPAM, the Telephone Consumer Protection Act, state "do-not-call" rules, or similar requirements, or in disregard of private-registration flags or restrictions presented by the Services.
The foregoing list is illustrative and not exhaustive. Conduct that is inconsistent with the spirit of this AUP or that harms the Services, other customers, or UberID may also constitute a violation.
6. UberID's Rights
6.1 Monitoring and Investigation
UberID reserves the right to inspect and monitor Customer's account and use of the Services at any time, with or without notice, to ensure compliance with this AUP and the Terms of Service. Customer agrees to provide promptly any records or information reasonably requested by UberID in connection with such monitoring or investigation. UberID may limit access to the account at any time if it believes, in its reasonable discretion, that Customer or its Authorized Users have violated or may violate this AUP or the Terms of Service.
6.2 Disclosure
UberID may disclose communications or information relating to Customer's use of the Services to the extent required by law, including as required by legal process or court order.
6.3 Suspension and Termination
UberID may, in its sole discretion, suspend or terminate Customer's access to or use of the Services for any actual or alleged breach of this AUP or the Terms of Service. Suspension or termination under this section does not relieve Customer of the obligation to pay any fees owed to UberID.
7. Compliance with Law and Privacy
Customer agrees to use the Services in compliance with all applicable laws, the Terms of Service, and this AUP, and is responsible for ensuring continued compliance.
Customer warrants that it will comply with all applicable privacy requirements in its use of the Services, including, where applicable, posting and complying with a privacy policy that accurately describes its practices. Additional information about UberID's processing of personal information is set out in the Data Policy.
Customer shall change payment information only in accordance with UberID's then-current payment-change procedures.
8. Enforcement and Consequences
Violation of this AUP may result in warnings, temporary or permanent suspension of access, termination of the account or Order, assessment of additional fees, and any other remedies available under the Terms of Service or at law. UberID's failure to enforce any provision of this AUP in a particular instance does not constitute a waiver of its right to enforce that or any other provision in the future.
Customer remains responsible for the acts and omissions of its Authorized Users. A violation by an Authorized User is deemed a violation by Customer.
9. Changes to this AUP
UberID may modify this AUP at any time by posting a revised version on its website or within the Services or by other reasonable notice. Material changes will be effective on the date stated in the notice or, if none, on the date of posting. Customer's continued use of the Services after the effective date constitutes acceptance of the revised AUP. If Customer does not agree to a revision, Customer's sole remedy is to stop using the Services and, if applicable, terminate in accordance with the Terms of Service.
10. General
This AUP is governed by the same governing-law and dispute-resolution provisions as the Terms of Service. If any provision of this AUP is held unenforceable, the remaining provisions continue in full force and effect. This AUP, together with the Terms of Service, the Data Policy, and any applicable Order, constitutes the entire agreement between the Parties concerning acceptable use of the Services and supersedes any prior or contemporaneous understandings on that subject.
Questions regarding this AUP may be directed to the legal-notice address designated by UberID.
